1. Acceptance of Terms

By downloading, installing, or using TerpScribe ("the Software"), you agree to these Terms of Use ("Terms"). If you do not agree, do not install or use the Software. These Terms are entered into between you and [insert legal entity name — e.g. "Idiomaticos LLC" or actual registered business name] ("we," "us," "our").

2. Description of Service

TerpScribe is a macOS application that provides real-time, on-device speech-to-text transcription intended to assist professional interpreters during consecutive interpretation of live proceedings (such as depositions, hearings, and similar settings). All audio processing and transcription occurs locally on your device, as described in our Privacy Policy.

3. Important Disclaimer: Not an Official Record

TerpScribe is a personal reference and note-taking aid for the interpreter's own use. It is NOT an official record of any proceeding, is NOT a certified transcript, and is NOT a substitute for the interpreter's own professional judgment, training, or ethical obligations. You are solely responsible for:

  • The accuracy of your own spoken interpretation, regardless of what TerpScribe displays or fails to display.
  • Compliance with all applicable professional, ethical, confidentiality, and court/proceeding-specific rules governing your work, including any rules regarding the recording of proceedings or the use of transcription aids during interpretation.
  • Obtaining any necessary consent or authorization before using TerpScribe (or any audio-capture software) to process audio from a proceeding, meeting, or conversation.

TerpScribe's automatic speech recognition and language-detection features, including but not limited to name/address/date highlighting and language auto-detection, are provided on a best-effort basis and may contain errors, omissions, or misidentifications. You must independently verify anything you rely on.

4. License Grant & Restrictions

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use TerpScribe on a single Mac device associated with your account, for your own personal or professional use.

You may not:

  • Reverse-engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law.
  • Circumvent, disable, or attempt to bypass the Software's device-limit or license-verification mechanisms.
  • Redistribute, resell, sublicense, rent, or lease the Software.
  • Use the Software to build a competing product or service.
  • Use the Software for any unlawful purpose, or in any way that violates a third party's rights.

We reserve all rights not expressly granted to you.

5. Subscriptions, Billing, and Cancellation

TerpScribe is offered on a subscription basis. Paddle.com, Inc. ("Paddle") is our authorized reseller and Merchant of Record for all purchases — this means when you subscribe, you are entering into a purchase agreement directly with Paddle, governed by Paddle's own Buyer Terms (https://www.paddle.com/legal/buyer-terms) and Checkout Buyer Terms, in addition to these Terms. Paddle, not us, processes your payment, handles applicable sales tax/VAT, and administers refunds and cancellations according to its own published policies.

We do not directly process, store, or have access to your full payment card details.

Free trials, where offered, convert automatically to a paid subscription unless cancelled before the trial period ends. Refer to Paddle's Buyer Terms and Refund Policy for the current cancellation and refund process.

6. Third-Party Software & Services

TerpScribe relies on, and its setup guide recommends, certain third-party software not developed or controlled by us, including:

  • BlackHole, an open-source virtual audio driver by Existential Audio Inc., licensed under GPL-3.0. Installing BlackHole is optional and is governed entirely by its own license terms (https://github.com/ExistentialAudio/BlackHole/blob/master/LICENSE) and Existential Audio's own policies.
  • The Qwen3-ASR speech recognition model, published by Alibaba and distributed via Hugging Face, used under its own applicable model license.
  • Google Firebase, Google Analytics, and Paddle, as described in our Privacy Policy.

We make no warranty regarding, and accept no liability for, any third-party software or service, including any changes to its availability, licensing terms, or functionality.

7. Intellectual Property

TerpScribe, its name, logo, and underlying software are our intellectual property (or licensed to us) and are protected by applicable copyright, trademark, and other laws. Nothing in these Terms transfers any ownership of the Software to you beyond the limited license in Section 4.

Because all transcript content is generated and stored locally on your device and never transmitted to us, you retain full ownership of any transcript content you generate using the Software. We claim no rights over such content.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT TRANSCRIPTION OR LANGUAGE-DETECTION OUTPUT WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SOFTWARE, INCLUDING BUT NOT LIMITED TO DAMAGES RESULTING FROM TRANSCRIPTION ERRORS, MISSED OR MISIDENTIFIED CONTENT, OR RELIANCE ON THE SOFTWARE DURING A LEGAL PROCEEDING. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence, or death or personal injury caused by our negligence.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Software, your violation of these Terms, or your violation of any third party's rights, including any rights related to the recording or transcription of a proceeding without proper authorization.

11. Termination

We may suspend or terminate your access to the Software at any time if you violate these Terms. You may stop using the Software and cancel your subscription at any time (see Section 5). Sections 3, 6, 7, 8, 9, 10, 13, and 14 survive termination.

12. Changes to the Software and These Terms

We may update, modify, or discontinue features of the Software at any time. We may revise these Terms from time to time; if we make material changes, we will update the "Last Updated" date and, for significant changes, provide reasonable notice (such as an in-app notice or email). Continued use of the Software after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Colombia, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the competent courts in Colombia.

14. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy and (for purchases) Paddle's Buyer Terms, constitute the entire agreement between you and us regarding the Software. You may not assign these Terms without our consent; we may assign them freely in connection with a merger, acquisition, or sale of assets.
